Terms & Conditions
Please read these terms carefully before using the BloomEvents platform. By accessing or using our services, you agree to be bound by these terms.
Introduction and Acceptance of Terms
1.1 Contractual Relationship
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bloom Graphics and Software Development (registered in Ghana), trading as BloomEvents ("BloomEvents," "we," "us," or "our").
1.2 Acceptance
By accessing, downloading, or using the BloomEvents platform (including the website, mobile applications, USSD interfaces, and scanner tools), you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms.
1.3 Legal Authority
In accordance with the Electronic Transactions Act, 2008 (Act 772), your electronic acceptance of these Terms carries the same legal weight as a physical signature. If you are using BloomEvents on behalf of an organization, you warrant that you have the authority to bind that organization to these Terms.
1.4 Continued Use
Your continued use of the Platform signifies your acceptance of these Terms and any future updates. If you do not agree with these Terms, you must immediately cease using the Platform.
Definitions and Interpretation
In these Terms, the following definitions apply:
Platform
The digital ecosystem provided by BloomEvents, including the web dashboard, mobile apps, USSD menus (*XXX#), API endpoints, and scanning software.
Organizer
Any User who creates an event, lists tickets for sale, or issues complimentary passes via the Platform.
Attendee
Any User who purchases, holds, or uses a Ticket to access an Event.
Ticket
A digital or physical licence (QR code, USSD code, or reference number) generated by the Platform granting entry to an Event.
Complimentary Ticket
A Ticket issued by an Organizer at zero cost to the recipient.
Group Ticket
A single Ticket identifier valid for multiple scans up to a specified admission count.
Agent / Scanner
A User designated by an Organizer to validate Tickets at an Event venue.
Event Content
Any text, images, schedules, artist lineups, or media uploaded by an Organizer to describe their Event.
USSD Session
A distinct interaction instance between a User's mobile device and the BloomEvents USSD gateway.
Payment Provider
Third-party financial institutions (e.g., Paystack, Flutterwave, MTN Mobile Money, Telecel Cash) that process transactions.
Description of Services
3.1 Scope
BloomEvents provides a software-as-a-service (SaaS) solution for event management, ticketing, and access control. Our services include ticket generation, sales hosting, USSD ticketing, and validation tools.
3.2 Platform Nature
BloomEvents is strictly an intermediary. We do not organize, host, or produce events. We do not own the venues or employ the performers.
3.3 No Guarantee of Results
We do not guarantee that an Event will take place, that an Organizer will perform their duties, or that an Attendee will be satisfied with an Event.
Eligibility and Account Security
4.1 Age Requirement
You must be at least 18 years old to enter into this contract.
4.2 Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials (email, password, API keys). Any action performed under your account is deemed to be your action. This specifically includes actions taken using credentials issued to your scanner agents, API integrations, or USSD configurations.
4.3 Suspension
We reserve the right to suspend or terminate accounts suspected of abuse, fraud, money laundering, or violation of these Terms without prior notice.
Organizer Responsibilities and Warranties
By creating an event, the Organizer represents and warrants that:
5.1 Accuracy
All Event Content (date, venue, lineup, pricing) is accurate and not misleading.
5.2 Legality & Permits
The Event complies with all applicable laws in Ghana. The Organizer is solely responsible for obtaining all required permits, licenses, insurance, and approvals (e.g., from city authorities, police, or music rights societies) necessary to hold the Event.
5.3 Liability for Event
The Organizer assumes full liability for the Event, including but not limited to safety, crowd control, artist appearance, and venue adequacy. BloomEvents is not liable for any injury, loss, or damage occurring at an Event.
5.4 Refunds
The Organizer is solely responsible for setting and honoring their refund policy. BloomEvents will only process refunds upon direct instruction from the Organizer, subject to available funds.
Tickets and Access Rules
6.1 Licence to Enter
A Ticket is a revocable licence to attend a specific Event.
6.2 Validation
A Ticket is considered "used" once it has been successfully scanned or validated via the Platform. Group Tickets are valid for the number of scans specified at purchase. Once the capacity is reached, the QR code becomes invalid.
6.3 Entry Discretion
Possession of a Ticket does not guarantee entry if the Attendee violates venue rules or the Organizer's code of conduct. BloomEvents does not determine admission decisions at the venue; this is the sole discretion of the Organizer and their staff.
Complimentary and Issued Tickets
7.1 Issuance
Organizers may issue Complimentary Tickets at their discretion. BloomEvents acts solely as the delivery agent.
7.2 No Liability
BloomEvents is not responsible for errors in recipient data (e.g., wrong email or phone number) provided by the Organizer, nor for the revocation of complimentary access by the Organizer.
Payments, Fees, and Settlements
8.1 Payment Processing
All financial transactions are processed by third-party Payment Providers. BloomEvents does not store full credit card details or mobile money PINs.
8.2 Fees
Service Fees: BloomEvents charges a fee per paid ticket sold. This fee is non-refundable. Transaction Fees: Payment Providers may charge processing fees which are borne by the User (unless absorbed by the Organizer).
8.3 Chargebacks and Reversals
Any chargebacks, payment reversals, or disputed transactions initiated by Attendees or card issuers may be deducted directly from the Organizer's pending payouts or invoiced to the Organizer for immediate repayment.
8.4 Settlements
Revenue collected (minus fees) will be remitted to the Organizer's designated account in accordance with the specific payout schedule. Payouts may be delayed by bank clearing times.
USSD Services (Specific to Ghana)
9.1 Network Dependence
USSD services rely on telecommunication networks (MTN, Telecel, AT). BloomEvents is not liable for transaction failures, timeouts, or incomplete sessions caused by network congestion or signal failure.
9.2 User Confirmation
Users are responsible for verifying the details in USSD prompts before authorizing payment. Once a USSD payment is confirmed by the network, it is deemed final.
Scanner and Check-in Tools
10.1 "As Is" Provision
The BloomEvents Scanner App and web validation tools are provided "as is."
10.2 Connectivity & Human Error
Effective scanning requires a stable internet connection. BloomEvents is not liable for check-in delays or failures caused by poor internet connectivity at the venue, device failure, or human error by scanning staff (e.g., accidental double scanning or allowing entry without scanning).
Prohibited Use
You agree not to:
Use the Platform for any illegal purpose or in violation of any local, state, or national law.
Resell tickets purchased via BloomEvents on third-party platforms without express permission.
Attempt to reverse engineer, decompile, or hack the Platform.
Create fake events to defraud users.
Intellectual Property
12.1 BloomEvents Rights
All rights, title, and interest in the Platform (code, design, logos) belong exclusively to Bloom Graphics and Software Development.
12.2 User Content
Organizers grant BloomEvents a worldwide, royalty-free license to use their Event Content for the purpose of promoting the Event and the Platform.
Data Protection
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal data in compliance with the Data Protection Act, 2012 (Act 843).
Modification of Services
BloomEvents reserves the right to modify, suspend, or discontinue any part of the Platform (including specific features, USSD codes, or app support) at any time, with or without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.
Termination
15.1 Right to Terminate
BloomEvents may suspend or terminate your access to the Platform at any time if you violate these Terms, engage in fraudulent activity, or pose a legal or reputational risk to the Platform.
15.2 Effect of Termination
Upon termination: Your access to the Platform may be revoked immediately. Outstanding tickets or events may be disabled where necessary to prevent harm. Provisions regarding Liability, Indemnification, Intellectual Property, and Dispute Resolution shall survive termination.
Limitation of Liability
To the maximum extent permitted by Ghanaian law:
16.1 Cap on Liability
BloomEvents' total liability to you for any claim arising out of these Terms or use of the Platform shall not exceed the total fees paid by you to BloomEvents in the three (3) months preceding the claim.
16.2 Exclusion of Damages
In no event shall BloomEvents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform or any Event failure.
Indemnification
You agree to indemnify, defend, and hold harmless BloomEvents, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:
Your use of the Platform.
Your violation of these Terms.
(For Organizers) Any dispute between you and an Attendee or third party regarding your Event.
Force Majeure
BloomEvents shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, network outages, power failures, government actions, pandemics, or failures of third-party service providers.
Dispute Resolution
19.1 Negotiation
In the event of a dispute, parties agree to attempt to resolve the matter amicably within fourteen (14) days.
19.2 Arbitration
If amicable resolution fails, the dispute shall be referred to final arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798). The language of arbitration shall be English.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.
Changes to Terms
BloomEvents may update these Terms from time to time to reflect changes in our services or legal obligations. Updated Terms will be posted on the Platform with a revised "Effective Date." Your continued use of the Platform following such changes constitutes your acceptance of the new Terms.
